Terms and Conditions

Welcome to Duranté Studios. These Terms and Conditions apply to your use of this website and to inquiries regarding services offered by Duranté Studios Ltd., including photography services presented under the name Duranté Photography.

Please read these Terms before using our website. When you book a service, your proposal, invoice and signed client agreement will contain the terms specific to your project. If a signed client agreement differs from these website Terms, the signed agreement will govern that project, subject to applicable law.

1. Our Business and Services

Duranté Studios Ltd. is an Ontario corporation offering creative services that may include:

  • Photography and videography
  • Personal branding and commercial photography
  • Lifestyle and family photography
  • Event and wedding photography
  • Branding and creative direction
  • Website design and development
  • Marketing and content strategy
  • Social media and content creation
  • Branded merchandise
  • Other creative services described in a proposal or client agreement

Duranté Photography refers to photography services provided by Duranté Studios Ltd.

Service descriptions, examples, packages, prices and availability may change. An inquiry, consultation or displayed booking time does not reserve a service or date.

2. Proposals, Bookings and Deposits

Your proposal, invoice or client agreement will identify the services, deliverables, price, payment schedule, deposit and additional costs applicable to your project.

Unless otherwise stated in the applicable client agreement, a booking is not confirmed until:

  1. The required client agreement has been signed; and
  2. The required deposit or payment has been received.

Deposits are non-refundable, except where a refund is required by applicable law or expressly provided for in the signed client agreement.

Mini sessions, weddings, events, giveaways, website projects, retainers and other specialized services may have different payment, cancellation and rescheduling terms. The applicable signed agreement will control.

Additional work, revisions, travel, third-party purchases or expenses outside the agreed scope require approval and may result in additional charges.

3. Scheduling, Rescheduling and Cancellations

Rescheduling and cancellation rights vary by service and will be stated in the applicable client agreement.

Standard photography bookings may generally be rescheduled once with at least seven days’ written notice, subject to availability. Notice provided less than seven days before the session may require a new booking and deposit.

Mini sessions are paid in full at booking and are non-refundable, non-transferable and not eligible for rescheduling unless otherwise stated in writing.

Wedding, event, website, marketing and other project-specific cancellation terms will be stated in the applicable agreement.

Nothing in these Terms limits a cancellation, refund or consumer right that cannot legally be excluded.

4. Client Responsibilities

Clients agree to provide complete and accurate information and all materials, approvals, access and feedback reasonably required to complete the project.

Clients are responsible for:

  • Arriving prepared and on time
  • Ensuring participants are available and cooperative
  • Obtaining required location, property or venue permissions
  • Providing accurate project information and contact details
  • Providing content, photographs, logos and other materials on time
  • Confirming that supplied materials may legally be used
  • Reviewing and approving work within the requested timelines
  • Maintaining backup copies of delivered work

Delays, unavailable participants, late arrivals, restricted access, missing materials or delayed approvals may reduce what can be completed or extend the project timeline.

5. Creative Work, Selection and Editing

Duranté Studios’ portfolio demonstrates its general creative approach, but every project is affected by its participants, location, timing, weather, lighting and purpose.

Unless expressly guaranteed in a signed agreement, Duranté Studios does not guarantee:

  • Particular poses, photographs or moments
  • Specific lighting or weather conditions
  • A particular number of leads, sales or inquiries
  • Search-engine rankings
  • Website traffic or performance
  • Social-media reach or engagement
  • Any particular commercial or business result

Duranté Studios retains professional discretion over creative direction, image selection, editing, composition, colour treatment and final presentation.

RAW files, unedited files, rejected images, drafts, working files and materials outside the contracted deliverables are never provided.

6. Delivery, Galleries and File Retention

Branding and lifestyle photography will generally be delivered within approximately two to six weeks unless the signed agreement provides a different timeline.

Wedding, event, video, website, marketing and other project timelines will be stated in the applicable client agreement.

Online photography galleries will generally remain available for two weeks from the date the gallery-delivery email is sent. Clients are responsible for downloading and securely backing up their files during that period.

Duranté Studios may retain internal project and photography files for approximately one year from the session date. This is an internal retention practice and does not guarantee permanent archiving, future recovery or replacement of files.

Clients should contact us promptly if they experience difficulty accessing delivered work.

7. Copyright and Client Usage Rights

Duranté Studios Ltd. retains copyright in photographs, videos and other creative work unless copyright is expressly transferred in a signed agreement.

Clients receive the licence and usage rights described in the applicable agreement.

Branding and commercial photography may include a non-exclusive commercial-use licence. Lifestyle, family, wedding and other personal photography will generally include a personal-use licence only.

Clients may not sell, license, transfer or provide delivered work to another business for separate commercial use unless permitted by the agreement or approved in writing.

Purchasing a service does not automatically transfer copyright.

8. Portfolio and Promotional Use

Copyright ownership is separate from permission to use an identifiable person’s image for Duranté Studios’ marketing.

Duranté Studios will obtain portfolio, website, social-media or promotional permission through the applicable client agreement, model release or other written consent.

Clients may decline promotional use where an opt-out is provided.

For sessions involving children, the signing parent or legal guardian must provide the required consent and confirm that they have the authority to do so. Where multiple children, families or event participants are involved, additional permission may be required.

Clients booking events are responsible for informing participants that photography or videography will take place where reasonably necessary.

9. Client-Supplied Materials

Clients represent that they have the necessary rights and permissions to provide any photographs, logos, copy, music, fonts, videos, designs or other materials supplied to Duranté Studios.

Clients are responsible for claims arising from materials they provide without the necessary authorization.

10. Website Design and Ownership

Website deliverables and ownership rights will be described in the signed website agreement.

Unless otherwise agreed in writing and subject to full payment:

  • The client receives rights to the completed custom website deliverables prepared specifically for that client.
  • The client owns or controls their original content and brand materials.
  • Duranté Studios retains ownership of its pre-existing materials, processes, systems, templates, tools, knowledge and unused concepts.
  • Third-party themes, fonts, plugins, photographs, software and integrations remain subject to their respective licences.
  • Ongoing hosting, maintenance, renewals, subscriptions and technical support are not included unless expressly stated.

Clients are responsible for maintaining lawful licences and subscriptions after project completion unless Duranté Studios has agreed to manage them.

11. Hosting and Maintenance

Where Duranté Studios provides website hosting or maintenance, the applicable fees and service terms will be stated in the client agreement or invoice.

If a hosting or maintenance payment becomes overdue, Duranté Studios may provide notice by email. If payment remains outstanding for 14 days after the due date, Duranté Studios may suspend or take down the website.

All outstanding invoices must be paid before service is restored. Duranté Studios does not currently charge an additional restoration fee.

Duranté Studios is not responsible for outages, security incidents or service interruptions caused by hosting companies, domain providers, plugins, payment processors or other third-party services outside its reasonable control.

12. Third-Party Services

Projects may rely on third-party services including hosting providers, domain registrars, booking systems, payment processors, galleries, plugins, email platforms and analytics providers.

Unless the signed agreement states otherwise, the client is responsible for:

  • Maintaining their accounts and login credentials
  • Paying ongoing subscription and renewal fees
  • Complying with third-party terms
  • Maintaining backups after project completion
  • Protecting administrative access

Duranté Studios cannot guarantee the continued availability, compatibility, security or performance of a third-party service.

13. Website Use and Intellectual Property

The Duranté Studios website and its original text, photographs, videos, graphics, designs and other content are protected by intellectual-property law.

You may view and use the website for lawful personal or business-inquiry purposes. You may not copy, reproduce, sell, scrape, distribute, republish or commercially exploit website content without written permission.

14. External Links

This website may contain links to third-party websites or services. Duranté Studios is not responsible for their content, availability, security or privacy practices.

15. Liability

Duranté Studios will provide services with reasonable care and in accordance with the applicable agreement.

To the extent permitted by law, Duranté Studios Ltd. will not be liable for indirect, incidental, special or consequential losses, including lost profits, lost opportunities, business interruption or loss of data.

Any liability arising from a particular project will be subject to the limitations contained in the applicable signed agreement.

Nothing in these Terms excludes liability or limits a legal right or remedy where doing so would be prohibited by law.

16. Circumstances Beyond Our Control

Duranté Studios is not responsible for delay or failure caused by circumstances beyond its reasonable control, including serious illness, emergency, natural disaster, government restriction, venue closure, widespread technical failure or interruption of a third-party service.

Where possible, Duranté Studios will communicate with the client and provide the options available under the applicable agreement and law.

17. Privacy

Our handling of personal information is explained in our Privacy Policy. Permission to use a client’s photograph for promotional purposes is addressed separately through the applicable agreement or model release.

18. Changes to These Terms

Duranté Studios may update these website Terms periodically. The “Last updated” date identifies the latest revision.

An update to this page does not automatically change a client agreement that has already been signed.

19. Governing Law

These Terms are governed by the laws of Ontario and the applicable federal laws of Canada, subject to any mandatory consumer protection that applies.
